These Terms and Conditions (“Terms”) govern access to and use of the Ad-Hopper platform by advertisers, Hoppers, and other users.
By accessing or using the platform, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using the Ad-Hopper platform, you acknowledge that you have read, understood, and agreed to these Terms.
2. User Accounts
Users are responsible for maintaining the confidentiality of their account credentials and for all activity conducted under their account. Ad-Hopper reserves the right to suspend or terminate accounts that violate these Terms.
3. Advertiser Terms
3.1 Ad Content Policy
Advertisers may not submit advertisements that are illegal, misleading, harmful, deceptive, or otherwise prohibited by law. Ad-Hopper reserves the right to reject, remove, or suspend ads at its discretion.
3.2 Payment and Billing
Campaigns are subject to minimum spend requirements
Pricing is based on CPM rates determined by campaign configuration
Payments are processed on a pay-as-you-go basis
Invoicing and payment terms may include net payment periods as specified at checkout
3.3 Data Usage Restrictions
Advertisers may use analytics data solely for evaluating campaign performance. Resale, re-identification, or misuse of platform data is prohibited.
4. Hopper Terms
4.1 Independent Contractor Status
Hoppers are independent contractors and not employees, partners, or agents of Ad-Hopper. No employment relationship is created by participation in the platform.
4.2 Equipment Responsibility
Hoppers are responsible for their own devices, connectivity, and related expenses required to participate on the platform.
4.3 Conduct and Legal Compliance
Hoppers agree to:
Operate in compliance with applicable laws and regulations
Respect private property rules and local policies
Maintain professional and lawful conduct while participating
4.4 Data Use Consent
During active sessions, Hoppers consent to the collection of location, device, and session data for operational, verification, and compensation purposes.
5. Intellectual Property
Advertisers retain ownership of their advertising content but grant Ad-Hopper a limited license to display and distribute such content through the platform.
All platform software, systems, and analytics remain the property of Ad-Hopper.
6. Disclaimers and Limitation of Liability
The platform is provided on an “as is” and “as available” basis. Ad-Hopper does not guarantee uninterrupted service or specific campaign outcomes. To the maximum extent permitted by law, Ad-Hopper disclaims liability for indirect, incidental, or consequential damages.
7. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Disputes shall be resolved through binding arbitration or other agreed dispute resolution mechanisms, as permitted by law.
